1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Xavier Platforms ("Company," "we," "us," or "our"), governing your use of the Hawkfield AI desktop application ("Software") and our website at hawkfieldai.com ("Website").

By downloading, installing, or using Hawkfield AI, you agree to be bound by these Terms. If you do not agree, do not download, install, or use the Software.

2. Description of Service

Hawkfield AI is an offline artificial intelligence assistant designed for field workers. The Software runs entirely on your local device and enables you to:

• Upload and process documents (PDF, Word, Excel, text files)
• Query your documents using natural language
• Receive AI-generated responses with source citations
• Operate without an internet connection after initial installation

The Software uses locally-run AI models via Ollama and does not transmit your data to any external servers during normal operation.

3. License Tiers

Hawkfield AI is offered under the following license tiers:

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the Software on devices you own or control
• Use the Software for your personal or internal business purposes
• Process your own documents through the Software

For Team tier licenses, the license extends to the number of seats included in your purchase. Each seat permits installation on one device.

5. License Keys

Paid tier licenses are activated using license keys delivered via email after purchase. License keys are validated locally on your device and do not require an internet connection for ongoing validation.

You agree to:

• Keep your license key confidential
• Not share, distribute, or publish your license key
• Not attempt to reverse-engineer, modify, or circumvent the license validation system
• Not generate fraudulent or unauthorized license keys

We reserve the right to revoke license keys that are found to be shared, pirated, or obtained through fraudulent means.

6. Restrictions

You may not:

• Reverse-engineer, decompile, or disassemble the Software except as permitted by applicable law
• Modify, adapt, or create derivative works of the Software
• Redistribute, sublicense, lease, rent, or lend the Software to third parties
• Remove or alter any proprietary notices, labels, or marks on the Software
• Use the Software to develop a competing product or service
• Circumvent any technical limitations or restrictions in the Software
• Use the Software in any manner that violates applicable laws or regulations
• Exceed the document limits or seat counts of your license tier

7. Your Documents and Data

You retain full ownership of all documents, data, and content you process through Hawkfield AI. We claim no ownership or rights over your content.

You are solely responsible for:

• Ensuring you have the right to use and process the documents you upload
• Compliance with any confidentiality, intellectual property, or regulatory requirements applicable to your documents
• Maintaining backups of your documents and data
• The security of your device and the data stored on it

8. AI-Generated Responses

Hawkfield AI uses artificial intelligence models to generate responses based on your documents and queries. You acknowledge and agree that:

• No guarantee of accuracy: AI-generated responses may contain errors, inaccuracies, or incomplete information. The Software is an assistive tool, not a replacement for professional judgment.
• Not professional advice: Responses do not constitute legal, medical, engineering, safety, or any other professional advice. Always consult qualified professionals for critical decisions.
• Safety-critical use: If you use Hawkfield AI in safety-critical environments (oil rigs, construction sites, medical settings, military operations), you must independently verify all information before acting on it. AI responses should supplement — not replace — established safety procedures and professional expertise.
• Your responsibility: You are solely responsible for any actions taken based on AI-generated responses.

9. Third-Party Software

Hawkfield AI incorporates and/or requires the following third-party software:

• Ollama — Local AI model runtime. Subject to its own license terms.
• AI Models (Llama 3, Qwen 2.5, DeepSeek-R1, etc.) — Subject to their respective model licenses and terms of use.
• ChromaDB — Vector database. Apache 2.0 license.
• Other open-source components — Various libraries used under their respective licenses.

We are not responsible for the functionality, accuracy, or availability of third-party software. Your use of these components is subject to their respective terms.

10. Hardware Requirements

The Software requires specific hardware to function properly. Performance depends on your device specifications. We provide minimum hardware recommendations for each tier but do not guarantee performance on any specific hardware configuration.

You are responsible for ensuring your device meets the minimum requirements for your selected tier before purchase. Hardware requirements are listed on our website and in product documentation.

11. Payments and Refunds

Paid licenses are one-time purchases. Payments are processed through third-party payment providers (such as Stripe) and are subject to their terms of service.

Refund Policy: We offer a 14-day refund period from the date of purchase. To request a refund, contact support@xavierplatforms.com with your order details. Refunds will be processed to the original payment method. After 14 days, all sales are final.

Refunds may be denied if we determine the license key has been used in violation of these Terms or has been shared with unauthorized parties.

12. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

We do not warrant that the Software will be error-free, uninterrupted, or free of harmful components. We do not warrant the accuracy, reliability, or completeness of any AI-generated responses or content.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL XAVIER PLATFORMS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

Our total liability for any claims arising from or relating to these Terms or the Software shall not exceed the amount you paid for your license in the twelve (12) months preceding the claim.

Safety-Critical Disclaimer: You acknowledge that the Software is not designed or certified for use as the sole basis for safety-critical decisions. We expressly disclaim all liability for any injuries, damages, or losses arising from reliance on AI-generated responses in safety-critical environments without independent professional verification.

14. Indemnification

You agree to indemnify, defend, and hold harmless Xavier Platforms and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Software
• Your violation of these Terms
• Your violation of any third-party rights
• Any content or documents you process through the Software
• Any actions taken based on AI-generated responses

15. Termination

We may terminate or suspend your license immediately, without prior notice, if you breach these Terms. Upon termination:

• Your right to use the Software ceases immediately
• You must uninstall and destroy all copies of the Software
• Your license key will be revoked
• Sections relating to liability, indemnification, and dispute resolution survive termination

You may terminate your use at any time by uninstalling the Software and discontinuing use. No refund is provided for voluntary termination outside the 14-day refund period.

16. Intellectual Property

The Software, including its code, design, logos, trademarks, and documentation, is the intellectual property of Xavier Platforms and is protected by copyright and other intellectual property laws.

"Hawkfield AI," "Hawkfield," the Hawkfield logo, and "Xavier Platforms" are trademarks of Xavier Platforms. You may not use these marks without our prior written consent.

17. Updates and Modifications

We may release updates, patches, or new versions of the Software from time to time. Updates may require an internet connection to download. We are not obligated to provide updates, maintenance, or support for any version of the Software.

We reserve the right to modify these Terms at any time. Material changes will be communicated via our website. Your continued use of the Software after changes constitutes acceptance of the revised Terms.

18. Export Compliance

You agree to comply with all applicable export control laws and regulations. You may not download or use the Software if you are located in a country subject to U.S. trade sanctions or if you are on any U.S. government restricted party list.

19. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Software shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Salt Lake City, Utah.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Xavier Platforms.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

21. Entire Agreement

These Terms constitute the entire agreement between you and Xavier Platforms regarding the Software and supersede all prior agreements, understandings, and communications, whether written or oral.
